Engagement Model

ClearBridge can be engaged by Compensation Committees or Management, providing objective counsel.

ClearBridge can be engaged by Compensation Committees or Management. In either case, we provide independent and objective counsel to align the multiple interests of the company and its shareholders to support sustainable business results.

Compensation Committee Engagements

  • Report directly to the Committee
  • Hold pre-meetings to review agenda, expectations, and deliverables
  • Attend Compensation Committee meetings and participate in executive sessions, as appropriate
  • Provide a clear timeline to the Committee on all projects and respond to any requests
  • Review management recommendations and identify issues for Committee discussion
  • Ensure any recommended changes are evaluated in the context of the overall program
  • Work with management as directed by the Committee, to best meet the needs of the Committee and Company
  • Work with management on behalf of the Committee, to gain full understanding of the Company’s business strategy and compensation objectives, as well as to collect required data
  • Ensure no surprises at committee meetings to allow for discussion of substantive issues and gain required approvals

Management Engagements

  • Report directly to Management
  • Hold pre-meetings to review agenda, expectations, and deliverables
  • Provide a clear timeline to Management on all projects and respond to any requests
  • Ensure any recommended changes are evaluated in the context of the overall program
  • Work with management to gain full understanding of the Company’s business strategy and compensation objectives, as well as to collect required data
  • Work with Management to present recommendations to the Compensation Committee, as appropriate
